Acceptance of Terms
By using Charity PPC services, the Client agrees to be bound by these Terms and Conditions. If the Client does not agree, they should not use our services.
Client Obligations
- Provision of Information: The Client agrees to provide accurate and complete information necessary for Charity PPC to perform the Services.
- Compliance: The Client agrees to comply with all relevant laws and regulations applicable to their use of the Services.
- Payment: The Client agrees to pay the fees for the Services as agreed and specified in the invoice or contract.
Charity PPC Obligations
- Service Delivery: Charity PPC agrees to provide the Services with reasonable skill and care, adhering to the timelines agreed with the Client.
- Confidentiality: Charity PPC will treat all information provided by the Client as confidential and use it solely for the purpose of delivering the Services.
Payment Terms
- Fees: The fees for Services will be agreed upon before the commencement of work and will be detailed in the contract or invoice.
- Payment Schedule: Clients are required to pay invoices within 30 days of receipt unless otherwise agreed in writing.
- Late Payments: Late payments may incur additional charges. Charity PPC reserves the right to suspend Services in case of non-payment.
Termination
- By Client: The Client may terminate the agreement by providing 30 days' written notice to Charity PPC.
- By Charity PPC: Charity PPC reserves the right to terminate the Services if the Client breaches these Terms and Conditions or fails to make timely payments.
- Effects of Termination: Upon termination, the Client will be liable to pay for all Services rendered up to the date of termination.
Limitation of Liability
- Extent of Liability: Charity PPC liability for any direct or indirect loss or damage arising out of the provision of Services shall be limited to the fees paid by the Client.
- Exclusion of Liability: Charity PPC shall not be liable for any loss of profit, business, revenue, goodwill, or any other incidental or consequential damages.
Intellectual Property
- Ownership: All intellectual property rights in any materials created by Charity PPC during the provision of its Services shall remain the property of PPC Charity PPC unless otherwise agreed in writing.
- Licence: Charity PPC grants the Client a non-exclusive licence to use the materials produced, solely for the purposes intended and agreed upon.
Confidentiality
Charity PPC commits to maintaining the confidentiality of all sensitive information provided by its clients. Both parties agree not to disclose any confidential information to third parties, except as required by law.
Data Protection
- Compliance: Charity PPC complies with UK data protection laws, including the General Data Protection Regulation (GDPR).
- Use of Data: Client data will only be used for the purpose of delivering the Services and will not be shared with third parties without the Client’s explicit consent.
Force Majeure
Charity PPC shall not be liable for any delay or failure to perform its Services due to any event beyond its reasonable control, including but not limited to acts of God, war, strikes, and natural disasters.
Dispute Resolution
Any disputes arising from these Terms and Conditions shall be resolved through negotiations in good faith. If the parties cannot resolve the dispute amicably, it may be referred to mediation before any legal action is initiated.
Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales.
